2. Services

Chrome Brains provides software development and digital services that may include web development, Next.js development, MERN Stack development, AI chatbot development, workflow automation, API integration, SaaS development, software maintenance, technical support, and related consulting or implementation services. Specific deliverables are defined in proposals, estimates, invoices, statements of work, or other written agreements.

3. Client Responsibilities

You agree to provide timely, accurate, and complete information reasonably required for us to perform the agreed services. You are responsible for reviewing and approving deliverables and for ensuring that content, trademarks, data, credentials, materials, or instructions you provide can lawfully be used for the project.

4. Project Scope & Payments

• Project scope, deliverables, estimated timelines, and fees will be agreed in writing before or during the project.
• Payment schedules are governed by the applicable proposal, invoice, estimate, order, or written agreement.
• Work outside the agreed scope may require additional fees and timeline adjustments.
• Unless otherwise stated in writing, completed work, deposits, or service fees may be non-refundable once work has started or resources have been committed.
• Late or overdue payments may result in project delays, suspension of work, or withholding of final deliverables until the account is brought current.

5. Intellectual Property

Chrome Brains retains ownership of its pre-existing tools, frameworks, libraries, templates, processes, methods, know-how, and other intellectual property. Unless otherwise stated in writing, ownership of final custom deliverables created specifically for a client transfers only after full payment of all amounts due. Third-party software, open-source components, fonts, APIs, plugins, frameworks, and licensed materials remain subject to their respective licenses and terms.

6. Confidentiality

Both parties agree to use reasonable care to protect confidential, non-public information shared during a project and not disclose it to third parties except where necessary to perform the services, where authorized, or where disclosure is legally required.

7. Acceptable Use

You agree not to use our website or services for unlawful, fraudulent, abusive, harmful, infringing, or malicious purposes. You also agree not to interfere with the operation, security, availability, or integrity of our systems or services.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Chrome Brains will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of our website or services. Our total liability, where liability cannot legally be excluded, will be limited as permitted by applicable law and any controlling written agreement with the client.

9. Termination

We may suspend or terminate access to services when these Terms are materially breached, required payments remain overdue, unlawful or harmful activity is suspected, or continued service would create unreasonable legal, security, or operational risk. Any payment, delivery, or ownership obligations that by their nature survive termination will remain in effect.

10. Changes to Terms

We may update these Terms periodically. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes become effective constitutes acceptance of the updated Terms.

11. Governing Law

These Terms will be interpreted under the governing law specified in the applicable client agreement, proposal, invoice, or statement of work. Where no governing law has been separately agreed, applicable law will determine the appropriate jurisdiction and legal framework.
